1. Title: Title to goods purchased from Phoenix Thermal Industrial passes to Buyer upon delivery to the

carrier. Buyer assumes all risk of loss or damage during shipment unless otherwise agreed in writing.

2. Buyer’s Obligations: Buyer shall inspect all goods upon receipt and notify Phoenix Thermal Industrial

of any claims for shortage or defects within seven (7) days. Failure to notify within this period constitutes acceptance of the goods.

3. Claims: Any claim for non-delivery, shortage, or defective

goods must be made within fourteen (14) days. Phoenix Thermal Industrial shall not be liable for

consequential or incidental damages beyond the cost of the goods supplied.

4. Payment by Buyer: Payment terms are as stated on the invoice. Interest may accrue on overdue balances at 1.5% per

month (18% annually). Phoenix Thermal Industrial reserves the right to withhold future shipments

pending payment.

5. Taxes: Buyer agrees to pay all applicable taxes, duties, and tariffs associated with

the goods unless exempted by valid documentation provided to Phoenix Thermal Industrial.

6. ForceMajeure: Phoenix Thermal Industrial is not liable for delays or non-performance due to causes beyond

its control, including natural disasters, labor disputes, transportation issues, or government actions.

7.Insurance: Buyer is responsible for obtaining insurance covering loss or damage after title passes.

8.Jurisdiction: This agreement shall be governed by and construed under the laws of the State of

Texas. Any disputes shall be settled in the courts of Harris County, Texas.

9. Entire Contract: This document, along with any written quotations or order confirmations, constitutes the entire agreement

between Buyer and Phoenix Thermal Industrial. Modifications must be in writing and signed by both parties.

10. Acceptance: By issuing a purchase order or accepting a quote, Buyer acknowledges and
